TERMS & CONDITIONS (T&C)
For D2C Performance Marketing Services

These Terms & Conditions govern the use of marketing and advertising services offered by
roasifymedia.
By signing a proposal, agreement or starting work with us, the client (Brand, Company)
agrees to these terms.
Scope of Services
We provide marketing services which may include:
- Performance Marketing (Meta, Google, etc.)
- Creative Strategy
- Funnel Setup & Tracking (Pixel, GA4, Events)
- Ad Account Management
- Reporting & Consulting
- Landing Page / Store Audit
- Campaign Scaling & Optimization
Any extra work outside the agreed scope will be considered add-on services with additional fees.
Payment Terms
- All payments must be made 100% in advance for monthly retainers unless agreed otherwise.
- Ad spend is always paid by the Client directly to the platform.
- Ads will only run when ad account billing is active.
- No refund is provided once the service begins.
- Late payments may result in a pause of services.
Minimum Contract Period
- Standard contract is for 3 months unless agreed otherwise.
- Early termination by the client does not qualify for refund.
Client Responsibilities
To begin and run campaigns smoothly, the client must provide:
- Product details, pricing, brand guidelines
- Access to ad accounts, website, CRM, and analytics
- Creative assets (images/videos) unless purchased separately
- Updated stock availability
- Accurate shipping, delivery, return & customer policies for ads
Any delay in providing information may delay the campaign timeline.
Agency Responsibilities
- Manage and optimize campaigns as per industry best practices
- Share weekly/monthly reports
- Follow agreed strategy and budget plan
- Maintain confidentiality of client data
- Conduct A/B testing for performance improvement
Results & Performance Disclaimer
Performance depends on many external factors like product-market fit, pricing, competition,
seasonality, creative quality, website speed, delivery, and customer experience.
- We do not guarantee a specific ROAS, sales number or revenue target.
- Marketing is an optimization process; results may vary.
Ownership of Assets
- Ad account, pixel data, campaign insights belong to the client.
- Creatives made by the agency remain with the client after payment.
- Strategies, frameworks, and internal processes belong to the agency.
Confidentiality
Both parties agree not to share any business-related data, strategies, or account details
with third parties without written permission.
Termination
- Either party may terminate with 30 days written notice.
- Outstanding dues must be cleared before termination.
Limitation of Liability
The agency is not responsible for:
- Platform bans
- Account suspensions
- Tracking issues caused by third-party tools
- Delays caused by the client
- Website, operational or delivery issues affecting campaign performance
Governing Law
These terms are governed by Indian laws.
Any disputes will fall under the jurisdiction of the courts in Delhi.
